Ameresco, Inc. Announces Pricing of Initial Public Offering

FRAMINGHAM , Mass. - Ameresco, Inc. (NYSE:AMRC) announced the pricing of its initial public offering of 8,696,820 shares of its Class A common stock at $10.00 per share. Of the shares being sold, Ameresco is selling 6,000,000 shares and selling stockholders are selling 2,696,820 shares. Ameresco will not receive any proceeds from the sale of shares by the selling stockholders. The underwriters have the option to purchase up to 1,044,523 additional shares from Ameresco and up to 260,000 additional shares from certain selling stockholders at the initial public offering price, less the underwriting discount, to cover overallotments, if any. Ameresco’s Class A common stock will begin trading on July 22, 2010 on the New York Stock Exchange under the symbol "AMRC." The offering is expected to close on July 27, 2010.

BofA Merrill Lynch is acting as the sole book-running manager. RBC Capital Markets is acting as lead manager for the offering, and Oppenheimer & Co., Canaccord Genuity, Cantor Fitzgerald & Co., Madison Williams and Company and Stephens Inc. are acting as co-managers of the offering.
